• No Guarantee of Funding Success: We do not guarantee that business plans generated through our Service will secure funding, investment, loans, or any form of financial support. Funding decisions depend on numerous factors beyond the quality of a business plan.
• Not a Substitute for Professional Advice: Our AI-generated plans are not a substitute for professional advice from qualified business consultants, financial advisors, lawyers, or accountants. We strongly recommend seeking professional review before using any generated plan for official purposes.

10. Dispute Resolution and Arbitration

10.1 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Optimus Business Plans agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Service (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction.

The arbitration will be administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with the JAMS Streamlined Arbitration Rules and Procedures, or alternatively by the American Arbitration Association (AAA) under the Consumer Arbitration Rules. The arbitration will be conducted in Dallas, Texas, unless you and we both agree to conduct it elsewhere.

10.2 Class Action Waiver

YOU AND OPTIMUS BUSINESS PLANS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.3 Arbitration Fees

Payment of all filing, administration, and arbitrator fees will be governed by the applicable arbitration provider's rules. We will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous.

10.4 30-Day Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to: legal@optimusbusinessplans.com within thirty (30) days of first accepting these Terms. Your notice must include your name and address and a clear statement that you want to opt out of this arbitration agreement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any dispute arising from or relating to the subject matter of these Terms shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you hereby consent to the personal jurisdiction of such courts.
